Terms of Service

1. Acceptance of these terms

These Terms of Service ("Terms") govern your use of the Rally mobile application and any related services provided by Rally Technologies (Private) Limited, a private limited company incorporated in Pakistan on 27 July 2026 under the Companies Act, 2017, with company registration number (CUIN) 0347703 ("Rally", "we", "us", "our") (together, the "Service").

By creating a Rally account, signing in, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, do not use the Service.

If you are using the Service on behalf of another person or entity, you represent that you have the authority to bind that person or entity to these Terms.

2. Definitions

"Rally", "we", "us", "our" — Rally Technologies (Private) Limited, CUIN 0347703, a company incorporated in Pakistan.
"User", "you", "your" — anyone who creates an account or uses the Service.
"Match" — a padel match posted by a User through the Service, including the venue, date, time, level range, gender preference, cost-per-player figure, and roster.
"Roster" — the players who have joined a Match, or the players who have booked a Lesson.
"Coach" — a User whom Rally has approved to list Lessons through the Service. A Coach is an independent provider, not an employee, agent, or representative of Rally.
"Lesson" — a padel coaching session listed by a Coach through the Service, including its title, venue, date, time, price-per-player figure, capacity, and roster.
"Venue" — the third-party padel facility where a Match or Lesson is played. Venues are not affiliated with Rally and are not operated by Rally.
"Tournament" — a multi-round padel competition listed on the Service and run by an Organiser, including its name, venue, dates, format, draws, and entry fees.
"Americano" — a single-session, multi-round social format listed on the Service, including its venue, date, player cap, and roster.
"Organiser" — a User whom Rally has approved to list a Tournament or an Americano through the Service. An Organiser is an independent provider, not an employee, agent, or representative of Rally. An Organiser runs, staffs, and settles their own event, including collecting any entry paid at the Venue.
"Club" — a Venue that has its own page on the Service. A Club has an owner and may have managers. The owner and the managers can manage the Americanos held at that Club, including removing a player from one.
"Rally credit" — credit Rally issues to a User, held in that User's "Rally Wallet" and spendable only on the Service. Section 9 sets out what it is, where it comes from, and what happens to it.
"User Content" — anything you submit to the Service, including profile information, photos (whether on your profile or sent in a chat), chat messages, scores, match listings, and reports.
"Block" — the action described in Section 8.7, by which you and another User are made mutually invisible and uncontactable on the Service.

3. What Rally is — and what Rally is not

3.1 What Rally is

Rally is a platform that lets padel players in Pakistan post matches they have independently booked, find other players to fill open spots, coordinate via in-app chat, and record scores after the match. Rally also lets Coaches approved by Rally list Lessons, which other Users can browse and book. In every case, Rally provides the platform that connects Users — it does not organize, supervise, deliver, or take part in any Match or Lesson.

3.2 What Rally is not

This is important. Read it carefully.

Rally is not a party to any Match or Lesson. Matches and Lessons are posted, joined, booked, and played entirely between Users. Rally is not present at any Match or Lesson and has no role in one beyond providing the platform that connects the Users involved.
Rally is not the Coach and does not provide coaching. A Coach is an independent provider who is approved to list Lessons but is not employed, supervised, trained, insured, background-checked, or endorsed by Rally. Rally does not set, deliver, attend, or supervise any Lesson, and does not guarantee the quality, safety, qualifications, or conduct of any Coach.
Rally does not book courts on your behalf. All court bookings are made by Users directly with Venues, before or independently of using the Service. Rally has no relationship with any Venue, does not pay any Venue, and does not receive bookings on behalf of any Venue.
Rally does not process payments between Users. The cost-per-player figure shown for a Match, and the price-per-player figure shown for a Lesson, are estimates provided by the User who posted the Match or the Coach who listed the Lesson. Settling that cost — collecting it, splitting it, or refunding it — is entirely a matter between the Users involved (players, and, for a Lesson, the Coach). Rally does not collect, hold, route, refund, or guarantee any of those payments.
There is one exception, and it is new: Rally now collects the entry for some Americanos. Where an Americano offers payment through Rally, you pay Rally for your place and Rally settles with the Club that hosts it. For those payments Rally is a party, and Section 9 — not this section — says what happens to your money, including when it comes back to you. An entry you pay in cash at the Club is not one of these: that stays between you and the Club.
Rally does not verify any User. We do not verify the identity of any User, the skill level claimed by any User, the gender claimed by any User, the accuracy of any User's profile, the truthfulness of any User's chat messages, or the conduct of any User on or off the platform.
Rally does not verify any Match. We do not verify that a Match has been booked, that the booking is valid, that the Venue exists, that the Venue is open, that the listed time is accurate, that the listed cost is correct, or that the Match will take place as posted.
Rally does not verify any Venue. We do not vet Venues for safety, cleanliness, accessibility, equipment quality, or legitimacy. Venue names and locations are pulled from third-party sources (e.g., Google Places) and may be inaccurate, outdated, or fraudulent.
Rally is not an introduction service, a dating service, a sports league, an event organiser, or an employer or agency of Coaches or Organisers. Rally is a directory of self-organized matches, of lessons that independent Coaches choose to list, and of Tournaments that independent Organisers choose to list. Rally does not itself provide coaching, and does not run, staff, officiate, referee, umpire or supervise any Tournament. A Tournament listed on Rally is organised, run and settled entirely by its Organiser.

4. Assumption of risk

By using the Service, you acknowledge and agree that you assume all risk associated with your use of the Service and your participation in any Match or Lesson. A Lesson carries the same in-person risks as a Match — including meeting a Coach or other Users you do not know — and Rally is no more responsible for a Lesson, or for the conduct or qualifications of a Coach, than it is for a Match. This includes, without limitation:

Physical risk. Padel is a physical sport. You may suffer injury, illness, or death from playing, from contact with other players, from the Venue's facilities, or from accidents in transit. Rally is not responsible for any such injury, illness, or death.
Interaction risk. Other Users may not be who they say they are, may not have the skill level they claim, may not show up, may show up at a different time, may behave inappropriately, may harass you, may steal from you, or may otherwise act in ways that cause you harm or loss. Rally is not responsible for the conduct of any other User, on the platform or off.
Transit risk. Travelling to and from a Venue carries the same risks as any other travel. Rally is not responsible for your transit.
Property risk. Items you bring to a Match may be lost, stolen, or damaged. Rally is not responsible for any such loss.
Payment risk. If you and other Users agree to share the cost of a court booking, that arrangement is between you. If another User fails to pay their share, refuses to pay their share, pays the wrong amount, or disputes the amount, that is a matter for you to resolve directly with them. Rally is not a party to any payment arrangement between Users and has no obligation to mediate, refund, recover, or guarantee any payment between Users. Where Rally collects an entry itself, Section 9 applies in place of this bullet.
Venue risk. Venues may be closed, double-booked, unsafe, or fraudulent. Rally has no relationship with any Venue and is not responsible for any Venue's conduct, facilities, or availability.
Cancellation risk. Matches may be cancelled by the poster, by other players leaving, or by the Venue. Rally is not responsible for any loss or inconvenience caused by a cancellation.
Information risk. Any information another User provides about themselves, about a Match, or about a Venue may be false. You are responsible for verifying anything you rely on before attending a Match.

You meet other Users at your own risk. You attend Matches at your own risk. You pay other Users at your own risk.

5. Eligibility and account registration

5.1 Minimum age

You must be at least 13 years old to create a Rally account. If you are under 18, you may only use Rally with the knowledge and consent of a parent or legal guardian, who accepts these Terms on your behalf and is responsible for your use of the Service. Because Matches and coaching sessions arranged through Rally involve meeting other Users in person, a minor should only attend with a parent or guardian's agreement and appropriate supervision. Both app stores list Rally with a 13+ age rating. If we learn that someone under 13 has created an account, we will remove it.

5.2 Accurate registration

You must provide accurate, current, and complete information when you register and when you use the Service. You must keep that information up to date. You are responsible for all activity that occurs under your account.

5.3 One account per person

You may not create more than one Rally account. You may not register on behalf of anyone else without their authorization. You may not create an account using a false identity.

5.4 Authentication

Rally uses third-party authentication providers (Apple, Google). You are responsible for maintaining the security of your Apple or Google account. If your Apple or Google account is compromised, your Rally account may be compromised too.

6. Acceptable use

You agree that you will not:

Use the Service to harass, abuse, threaten, defame, or harm any other User.
Use the Service to send unsolicited commercial messages, spam, or scams.
Use the Service to share content that is unlawful, fraudulent, obscene, hateful, or that infringes anyone's rights.
Send, post, or upload any image that is sexual or pornographic; that depicts nudity; that depicts violence, gore, or self-harm; or that is intended to shock or disgust.
Send, post, or upload any image of another person taken or shared without their consent, including any image taken in a place where that person would expect privacy, and including any image of another User obtained from the Service.
⛔ Send, post, or upload any image that sexualises a minor, or any child sexual abuse material of any kind. We report this to law enforcement, we permanently terminate the account, and there is no appeal.
Use a chat thread to send unsolicited images to a User who has not asked for them.
Impersonate another person, misrepresent your affiliation with anyone, or create an account with a false identity.
Create matches you have not booked, matches at venues that do not exist, matches with false cost figures, or matches with false level or gender requirements.
Submit false scores, false no-show reports, or false disputes.
Scrape, copy, mirror, harvest, or otherwise extract data from the Service for any purpose, including building a competing service.
Reverse-engineer, decompile, modify, or attempt to gain unauthorized access to the Service or any system Rally uses to operate the Service.
Use the Service for any commercial purpose without our prior written permission, including but not limited to paid match arrangement, equipment sales, or recruitment. Listing Lessons as a Coach approved by Rally, and listing a Tournament as an Organiser approved by Rally, are permitted uses of the Service.
Use the Service in any way that violates any applicable law of Pakistan or any other jurisdiction you are located in.

We may remove content, suspend accounts, or terminate accounts that violate this section, in our sole discretion, with or without notice.

7. Account suspension and termination

7.1 By Rally

We may suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:

Violation of these Terms or our Privacy Policy.
Triggering Rally's internal reliability thresholds (excessive no-shows, cancellations, or disputes). This is automatic and is about attendance, not content.
A decision by a Rally moderator, following a report under Section 8.6, that your User Content or your conduct breached Section 6. This is a separate and independent ground from the reliability thresholds above, and a single item of content can be enough.
Behaviour we reasonably consider harmful to other Users or to the Service.
Suspected fraud, impersonation, or unauthorized use of the Service.
A request from a court, government authority, or law enforcement agency under Pakistan law.

Suspension or termination does not entitle you to any refund, or to the return of any Rally credit.

A suspension takes effect immediately. It cancels any Match you have posted that has not yet been played, tells the other players on it, and frees the seats you were occupying on other Users' Matches.

7.2 By you

You may terminate your account at any time via Settings → Delete Account. Deletion is permanent and cannot be undone.

Deletion removes your account and profile, your place on every Match, Lesson, Americano and Tournament roster, your notifications, your follows, your blocks, and the reports you filed or that were filed about you. Any Match you posted that has not yet been played is cancelled. Every direct chat thread you were part of is deleted outright — your messages and the other person's. If you organised an Americano, that Americano and its chat are deleted with your account.

⚠️ Deletion loses any Rally credit you are holding. Credit cannot be paid out or transferred, so it cannot follow you and it cannot be sent anywhere. Section 9.8 says what happens, and what to do first if you would rather not lose it.

⚠️ Deletion does not remove the messages you sent in Match, Lesson and Americano threads. Those messages remain in the thread and are shown to the other people on that Roster as coming from "Former player", without your name or photo. In Match and Lesson threads they are then hard-deleted on the ordinary thirty (30) day retention clock (Section 8.5). In Americano threads there is no such clock and they remain. If you want a message gone before you delete your account, delete the message first.

Some data may persist where we are legally required to retain it, as described in our Privacy Policy.

7.3 Effect of termination

Sections that by their nature should survive termination — including Sections 4 (Assumption of risk), 7.4 (Appeals), 8 (User Content), 9 (Rally credit and refunds), 10 (Intellectual property), 11 (Disclaimers), 12 (Limitation of liability), 13 (Indemnification), and 14 (Dispute resolution) — survive termination.

7.4 Appeals

If your account is suspended or terminated, you may appeal by emailing support@rally.pk from the email address on your Rally account, within thirty (30) days of the suspension, with "Appeal" in the subject line. Tell us your account email and why you believe the decision was wrong.

A person who was not involved in the original decision will review the appeal and reply. We aim to reply within fourteen (14) days. We may uphold the decision, lift the suspension, or lift it with a warning. Our decision on an appeal is final.

⛔ There is no appeal for an account terminated for child sexual abuse material (Section 6).

An appeal does not entitle you to any refund, and it does not pause the suspension while it is being considered.

8. User Content

8.1 You own your content

You retain ownership of any User Content you submit to the Service.

8.2 Licence to Rally

By submitting User Content to the Service, you grant Rally a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to host, store, reproduce, modify (only for technical purposes — resizing, re-compressing, or converting the format of an image so it can be stored and displayed), display, perform, and distribute that User Content as necessary to provide the Service and to operate, develop, and improve the Service.

This licence ends for a given item of User Content when that item is deleted from the Service, except to the extent it has already been shared with other Users, or where we must retain a copy for a legal or safety reason.

This licence is limited to what is necessary for the Service. It does not give Rally the right to commercialize your User Content separately from the Service.

8.3 Your responsibilities

You are solely responsible for your User Content. You represent and warrant that:

You own or have the necessary rights to your User Content.
Your User Content does not infringe the rights of any third party.
Your User Content does not violate these Terms or any applicable law.

8.4 Moderation

We may, but are not obligated to, review, remove, or refuse to display any User Content for any reason, including violations of these Terms.

How moderation actually works. Rally does not scan or pre-screen User Content. A Rally moderator reviews content that has been reported under Section 8.6 and takes one of three actions:

Dismiss — no breach found; the content stays and the report is closed.
Remove the content — the message is replaced with a "[deleted]" marker, visible to everyone on that Roster. The message is not erased from the thread's history; it is taken down and marked as taken down. A takedown reaches Rally's copy and only Rally's copy: the message stops being served, and a photo is deleted from our storage and can no longer be loaded by anyone who has not already loaded it. It cannot reach a copy that is already on a User's device — an image they had open, or a screenshot they took. No service can, and we do not claim to.
Remove the content and suspend the account — as above, and the reported account is suspended under Section 7.1, with the immediate effects described there.

Every action is recorded against the report with the moderator who took it and a note. You will not always be told the outcome of a report you filed. If a decision goes against you, Section 7.4 tells you how to appeal.

8.5 Chat messages and photos

Chat messages you send in a Match, Lesson or Americano thread are visible to all Users on that Roster. Messages in a direct thread are visible to the two of you. A message may be text or a photo you choose to send. You may delete your own messages via the long-press action in the chat; other Users will see a deleted message replaced with a tombstone marker.

How long a message is kept depends on which kind of thread it is in, and the difference is deliberate:

Match and Lesson threads — hard-deleted thirty (30) days after the Match's or Lesson's scheduled start time.
Americano threads — kept indefinitely. There is no retention clock on an Americano thread.
Direct threads — kept indefinitely while both Users still have accounts. If either User deletes their account, the entire thread is deleted, on both sides.

Photos follow the message they are attached to, exactly. A photo is stored privately and is readable only by the Users in that thread. When the message carrying it is hard-deleted, the image file is queued for deletion and removed from storage within minutes. It follows that a photo in an Americano thread, or in a direct thread between two Users who both keep their accounts, is kept indefinitely — so treat a photo you send as something the other people in that thread will have. Do not send a photo you would not want kept.

8.6 Reports

If you become aware of User Content or conduct that violates these Terms, report it in the app. There is a report action on chat messages, on Match listings, and on User profiles: open the item, choose Report, and pick the reason that fits — harassment or bullying, inappropriate or offensive content, spam or a scam, or a fake profile.

If you cannot reach the in-app report action, or your report is about something the four reasons do not cover, email support@rally.pk with as much detail as you can give.

We review reports and take action at our discretion, as described in Section 8.4. Filing a knowingly false report is itself a breach of Section 6.

8.7 Blocking

You may block another User from their profile. You can see and undo your blocks at any time in Settings.

A block is mutual, and this is exactly how far it reaches. You and the blocked User disappear from each other's search results, feeds, follow lists, and follow suggestions. Neither of you can start a direct chat with the other or write in one — an existing direct thread stays readable to both of you, with the message box locked. Neither of you can join a Match the other posted or request a spot in one, book the other's Lesson, or request a spot on the other's tournament team. Blocking also removes any follow between you, in both directions, and unblocking does not restore it.

A block does not remove either of you from a Match, Lesson or Americano you are both already on. In a shared Match or Lesson thread the blocked User's messages are hidden from you and do not reach your notifications; in an Americano thread they are hidden from you in the app, but a notification may still arrive. Both of you can still see the Roster and both of you can still write in that thread. If a User in a shared game is a problem, report them (Section 8.6) as well as blocking them.

We do not notify a User that you have blocked them. Blocking is not a report — if the conduct breaches these Terms, report it as well (Section 8.6), because a block tells no moderator anything.

9. Refunds and Rally credit

9.1 Refunds go back to your card

Every refund Rally gives you goes back to the card you paid with. Rally starts the refund as soon as it is owed. A card refund usually takes 7 to 10 working days to reach your account, depending on your bank or card issuer.

A payment we never took is not a refund. If your place goes away before Rally has taken any money from you — you were on a waitlist, or nothing was ever charged for the place — there is nothing to refund and nothing goes back to your card. The app will tell you when that is what happened.

9.2 What Rally credit is

Rally credit is credit Rally issues to you. You see it in the app as your Rally Wallet, and it is spendable on the things Rally charges for on the Service.

Credit is spendable only on Rally. It leaves your account by paying for something on the Service, and in no other way.
Credit cannot be bought, topped up, transferred, gifted, sold, exchanged, or cashed out. You cannot send it to another User and you cannot ask us to send it to your bank or your card.
Credit is not a bank account and not a deposit. It is not money held on deposit for you, it earns nothing, and it has no value outside the Service.
Credit does not expire.

9.3 Where credit comes from

Rally credit reaches your Rally Wallet in one way: a prize that Rally pays for, as described in Section 9.5. Refunds do not become credit — they go back to your card (Section 9.1). Credit you already hold from a refund made before 25 September 2026 stays yours and works the same way as any other credit.

There is no other way. Rally may also correct a balance under Section 9.6.

9.4 When your entry comes back, and when it does not

You can leave an event at any time before it starts. The six-hour line below does not stop you leaving; it decides whether your entry comes back.

If you paid Rally for a place at an event:

You leave more than six hours before it starts — your entry is refunded to your card.
You leave inside the last six hours before it starts — your entry is not returned. The place was held for you and the Club is owed it. A late leave is also noted on your account (Section 7.1).
The event is cancelled — your entry is refunded to your card.
The event is made smaller, or its requirements change, and your place goes with it — your entry is refunded to your card. The same applies if you lose a race for the last place at an event.
The Organiser, or the Club's owner or a Club manager, removes you — your entry is refunded to your card.
Your account is suspended or terminated — Section 7.1 applies: nothing comes back.

If the Organiser moves the start time, the six-hour line can only move in your favour. Moving the start later moves the line later with it. Moving the start earlier leaves the line where it already was, so you never lose time you had when you paid.

9.5 Prize credit

Some events carry a prize that Rally itself pays, as Rally credit. Not every event carries one, and nothing in these Terms promises that any event will. Where an event does:

When the final score is in, the prize is written to your Rally Wallet as on its way. You can see it. You cannot spend it yet.
The result stays correctable for two hours after the event ends. A correction inside those two hours simply rewrites what is on its way, so a prize can never be spent and then taken back from you.
At the end of those two hours the result locks and the prize is released.
A released prize becomes spendable once you have a clear profile picture on your account. Until then it waits in your Rally Wallet, and it opens the moment your picture is on. The picture is there so the people at an event can recognise you.
A prize is paid only for a complete event. If a scheduled game has no score when the result locks, no prize is paid. Where players tie for a place, they share that place's prize equally.
After the lock, no score can be changed in the app, by anyone. If you believe a result is wrong after that, email support@rally.pk. Rally staff can correct a balance by hand, and every correction is recorded with a note. A locked result is not reopened.

9.6 Credit issued in error, and misuse

Rally may reverse credit that was issued in error, and credit obtained by abuse of the Service, by a breach of Section 6, or by any arrangement designed to create credit that was not earned. Every reversal is recorded with a note.
Credit already spent may be recovered from a later balance, or treated as a debt you owe Rally, if it was issued in error or obtained as described above.
Chargebacks and card disputes. If Rally has already refunded a payment — to your card, or as Rally credit before 25 September 2026 — and you then ask your bank or card issuer to reverse the same payment, you would be paid twice for the same thing. If that happens, Rally may recover the amount, remove the matching credit from your Rally Wallet, recover it from a later balance, or suspend your account under Section 7.1 while the dispute is dealt with. Please email support@rally.pk before you raise a dispute with your bank — we will almost always be faster.

9.7 Availability

Rally credit is being introduced gradually, and it is not available to every player or in every place yet. Where it is not available you will not see a Rally Wallet in the app. Whether you see it can depend on where an event is held. We may widen or narrow where Rally credit is available at any time. If you already hold credit, switching it off around you does not erase it and you keep your Rally Wallet — but you may not be able to spend it at an event where it is off.

9.8 Deleting your account

If you delete your account, any Rally credit you are holding is lost. Credit cannot be paid out, sent to your card, or transferred to anyone, so there is nowhere for it to go. If you want it, spend it before you delete.

Rally keeps a record of the money that moved — what you paid, what came back to you, what Rally issued you, and what was written off — after your account is deleted, with your identity removed from it. Rally has to be able to account for money it took and money it gave back. Our Privacy Policy describes that record and how long it is kept.

10. Intellectual property

The Service — including the Rally name and logo, the design and layout of the app, the source code, the underlying database structure, and all other content created by Rally — is the exclusive property of Rally and is protected by intellectual property laws of Pakistan and other jurisdictions.

You may not copy, modify, distribute, sell, lease, or create derivative works of any part of the Service without our prior written permission. You may not use the Rally name, logo, or any other Rally brand element without our prior written permission.

If you believe content on the Service infringes your copyright, send a written notice to legal@rally.pk identifying the copyrighted work, the location of the allegedly infringing material on the Service, your contact details, and a statement that you have a good-faith belief that the use is unauthorized.

11. Disclaimers

The Service is provided on an "as-is" and "as-available" basis, without warranties of any kind, whether express or implied, to the maximum extent permitted by Pakistan law.

Without limiting the above, Rally specifically disclaims:

Any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.
Any warranty that the Service will be uninterrupted, secure, error-free, or free from viruses or other harmful components.
Any warranty as to the accuracy, completeness, or reliability of any Match listing, User profile, Venue listing, chat message, or any other content displayed in the Service.
Any warranty as to the identity, skill level, character, conduct, or fitness of any other User.
Any warranty as to the safety, accessibility, availability, or legitimacy of any Venue.
Any warranty that any Match will take place as posted.
Any warranty as to any communication, agreement, or arrangement you make with another User on or off the Service.

No advice or information, oral or written, that you obtain from Rally or from any other User creates any warranty that is not expressly stated in these Terms.

12. Limitation of liability

To the maximum extent permitted by Pakistan law:

12.1 Excluded damages

In no event will Rally, its operators, affiliates, employees, agents, or licensors be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation damages for loss of profits, loss of goodwill, loss of data, loss of opportunity, business interruption, personal injury, property damage, or emotional distress, arising out of or in connection with these Terms, the Service, or any Match, even if Rally has been advised of the possibility of such damages.

12.2 Liability cap

If, despite Section 12.1, Rally is found liable to you for any reason, Rally's total aggregate liability to you under these Terms will not exceed the greater of (a) one thousand Pakistani Rupees (PKR 1,000) or (b) the total amount of fees you have paid to Rally in the twelve (12) months preceding the event giving rise to liability.

12.3 No liability for other Users or for Venues

Without limiting the above, Rally is not liable for:

The conduct of any other User, on the Service or off the Service, before, during, or after any Match.
Any injury, illness, or death you suffer at any Match, in transit to or from any Match, or as a result of any Match.
Any loss of, damage to, or theft of any property at any Match or in connection with any Match.
Any failure of any other User to attend a Match, to pay their share of any cost, or to behave appropriately.
Any act or omission of any Venue, including but not limited to closure, double-booking, unsafe conditions, or fraud.
Any payment, refund, or financial arrangement between you and any other User.

12.4 Carve-out

Nothing in these Terms excludes or limits Rally's liability for fraud, gross negligence, or wilful misconduct, or for any liability that cannot be excluded or limited under Pakistan law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Rally, its operators, affiliates, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with:

Your use of the Service.
Your User Content.
Your conduct on the Service or in connection with any Match (including off-platform conduct related to a Match).
Your interactions with any other User.
Your breach of these Terms.
Your violation of any law or of any third party's rights.

Rally reserves the right, at our own expense, to assume the exclusive defence and control of any matter for which you are required to indemnify us. You agree to cooperate with our defence of any such claim.

14. Dispute resolution

14.1 Informal resolution first

If you have a dispute with Rally, please contact us at legal@rally.pk before initiating any formal proceeding. We will attempt to resolve the dispute informally within thirty (30) days.

14.2 Arbitration

If informal resolution does not resolve the dispute within thirty (30) days, any dispute arising out of or in connection with these Terms, the Service, or any Match — including disputes about the formation, validity, interpretation, breach, or termination of these Terms — will be resolved by binding arbitration before a single arbitrator under the Arbitration Act, 1940 of Pakistan, seated in Islamabad. The arbitration will be conducted in English. The arbitrator's award will be final and binding on both parties.

14.3 Class action waiver

You and Rally agree that disputes will be resolved on an individual basis only. Neither you nor Rally may bring a claim against the other as a plaintiff or class member in a class action, consolidated action, or representative action.

14.4 Carve-out for courts

Notwithstanding Sections 14.2 and 14.3, either party may bring a claim in a court of competent jurisdiction in Islamabad for:

An action to enforce Rally's intellectual property rights or confidentiality obligations.
An action for injunctive or other equitable relief to prevent imminent harm.
A small claim that qualifies for resolution in a small claims court under Pakistan law.

14.5 Governing law

These Terms are governed by the laws of the Islamic Republic of Pakistan, without regard to its conflict-of-laws provisions.

14.6 Jurisdiction for non-arbitrable matters

For any matter not subject to arbitration under Section 14.2, you and Rally submit to the exclusive jurisdiction of the courts of Islamabad.

15. Third-party services

The Service relies on third-party services, including Apple Sign In, Google Sign In, Google Places API, Supabase, Apple Push Notification service, Firebase Cloud Messaging, Expo Push, PostHog (product analytics) and Sentry (crash and error reporting). PostHog and Sentry are hosted in the United States; what each receives, and what it deliberately does not receive, is set out in Section 5 of our Privacy Policy. Your use of those services is governed by the terms and privacy policies of their providers. Rally is not responsible for any third-party service.

If a third-party service is unavailable, the Service or parts of it may also be unavailable. Rally is not liable for any disruption caused by a third-party service.

16. Changes to these terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent revision, and the version published at rally.pk/terms is always the current one — the Service links to that page rather than carrying its own copy.

We do not currently have a way to notify you individually before a change takes effect, and we would rather say so than promise a notice we cannot deliver. A change takes effect when it is published. Your continued use of the Service after that constitutes your acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Service and delete your account. If we build a notification mechanism, this section will be updated to describe it.

17. General

17.1 Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Rally regarding the Service. They supersede any prior agreement or understanding.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable, preserving its original intent.

17.3 No waiver

Rally's failure to enforce any provision of these Terms is not a waiver of that provision or of any other provision.

17.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Rally may assign or transfer its rights and obligations under these Terms without your consent.

17.5 No agency

Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and Rally.

17.6 Force majeure

Rally is not liable for any failure or delay caused by events beyond our reasonable control, including but not limited to natural disasters, war, terrorism, civil unrest, power outages, internet failures, or government action.

17.7 Notices

We will send notices to you at the email address associated with your account. You will send notices to us at legal@rally.pk. Notices are deemed delivered when sent.

17.8 Language

These Terms are written in English. Any translation is provided for convenience only. In the event of a conflict between the English version and any translation, the English version controls.
